The Annual Election of Directors of The Guardian Life Insurance Company of America will take place between the hours of 10:00 a.m. and 4:00 p.m. on Wednesday, December 9, 2009 at the Home Office of the Company, which is located at 7 Hanover Square in New York City. The candidates who have been nominated for three-year terms commencing January 1, 2010, as provided in New York State Insurance Law, are:

Kay Knight Clarke
James E. Daley
Dennis J. Manning

Substantial policyholder participation in the Annual Election is desirable. In the event you are unable to cast your vote in person and would like to participate in this year's election, simply download the Policyholder's Proxy, sign the Proxy in the presence of a witness, as required by New York State Insurance Law, and return it by mail to the Company at the following address as soon as possible:
